Vinci 26 – Terms of Service

1. Scope and Purpose

These Terms of Service ("Terms") govern access to and use of the Vinci 26 Business Portal and all related software, applications, APIs, and services (collectively, the "Service") provided by Vinci 26.

These Terms apply exclusively to business owners, managers, staff members, administrators, and other professionals acting on behalf of a business entity ("Business Users"). They do not apply to end customers of the Businesses.

By creating an account, accepting an invitation, or otherwise using the Service, you agree to be legally bound by these Terms.

2. Provider Information

  • Provider: Vinci 26
  • Service Type: Software-as-a-Service (SaaS)
  • Territorial Scope: European Union and other supported jurisdictions

3. Definitions

  • "Business": The legal entity using the Service.
  • "User": Any individual authorized to access the Business Portal.
  • "Owner": A User with full administrative control over a Business.
  • "Manager / Staff": Users with limited permissions assigned by the Owner.
  • "Business Data": All data entered, uploaded, or generated by the Business through the Service.

4. Eligibility and Authority

You represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into binding agreements;
  • You are authorized to act on behalf of the Business;
  • All information provided is accurate and kept up to date.

5. Account Registration and Security

5.1 User Accounts

Each User must maintain a unique, personal account. Account sharing is strictly prohibited.

5.2 Authentication

Users are responsible for safeguarding credentials, access tokens, and any two-factor authentication mechanisms. Vinci 26 is not liable for unauthorized access resulting from User negligence.

5.3 Invitations

Business Owners and Managers may invite additional Users. The Business bears full responsibility for invited Users and their actions.

6. Roles and Access Control

The Service operates on a role-based access model. Vinci 26 is not responsible for permissions configured by the Business or misuse resulting from improper role assignments.

7. Responsibilities of the Business

The Business is solely responsible for:

  • Compliance with all applicable laws and regulations;
  • Accuracy of business information, services, pricing, and availability;
  • Employment, labor, and tax obligations;
  • Lawful processing of customer personal data;
  • Actions performed by its Users within the Service.

8. Acceptable Use Policy

Users must not:

  • Use the Service for unlawful, fraudulent, or abusive purposes;
  • Upload, store, or process illegal, infringing, or harmful content;
  • Attempt to bypass security measures or access unauthorized data;
  • Reverse engineer, copy, resell, or exploit the Service;
  • Interfere with platform stability, integrity, or performance.

9. Data Ownership and Control

9.1 Business Data

All Business Data remains the exclusive property of the Business. Vinci 26 processes such data solely to provide the Service.

9.2 Platform Data

Vinci 26 retains ownership of the Service, software, source code, infrastructure, documentation, and anonymized aggregated analytics.

10. Data Protection

Processing of personal data is governed by the Privacy Policy and applicable data protection laws, including the GDPR.

11. Service Availability

The Service is provided on an "as is" and "as available" basis. Vinci 26 does not guarantee uninterrupted, error-free, or delay-free operation.

12. Maintenance and Updates

Vinci 26 may perform maintenance, updates, or modifications that may temporarily affect availability or functionality.

13. Third-Party Services

The Service may integrate with third-party services. Vinci 26 is not responsible for third-party availability, functionality, or compliance.

14. Fees, Billing, and Taxes

14.1 Subscription Plans

The Service offers different subscription tiers with varying features and limits. Plan details, pricing, and features are displayed in the application and may be updated from time to time.

14.2 Billing Cycles

  • Subscriptions are billed in advance on a monthly or annual basis, depending on your selection;
  • The billing cycle begins on the date of your initial subscription purchase;
  • Annual subscriptions may offer a discounted rate compared to monthly billing.

14.3 Automatic Renewal

All paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for all recurring subscription fees.

14.4 Payment Methods

  • You must provide a valid payment method (credit card, debit card, or other accepted method) to subscribe to a paid plan;
  • You are responsible for keeping your payment information current and accurate;
  • All payments are processed securely through our third-party payment processor.

14.5 Price Changes

We reserve the right to modify subscription prices. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

14.6 Upgrades and Downgrades

  • Upgrades: When upgrading to a higher-tier plan, you will be charged the prorated difference for the remainder of your current billing cycle. New features become available immediately;
  • Downgrades: When downgrading to a lower-tier plan, the change takes effect at the start of your next billing cycle. No refunds or credits are provided for the current period.

14.7 Failed Payments

  • If a payment fails, we will attempt to charge your payment method up to 3 times over a 10-day period;
  • During this grace period, your access to paid features may be temporarily suspended;
  • If payment cannot be collected after the grace period, your subscription will be downgraded to the free plan.

14.8 Refund Policy

Subscription fees are generally non-refundable. However, refund requests may be considered on a case-by-case basis for:

  • Technical issues that prevented use of the Service and were not resolved within a reasonable timeframe;
  • Duplicate charges or billing errors;
  • First-time subscribers within 14 days of initial purchase (one-time courtesy refund).

14.9 Cancellation

  • You may cancel your subscription at any time through your account settings;
  • Cancellation takes effect at the end of the current billing period;
  • You will retain access to paid features until the end of the period you have already paid for;
  • No partial refunds are provided for unused time within a billing period.

14.10 Taxes

  • All fees are exclusive of applicable taxes (VAT, GST, sales tax, etc.) unless stated otherwise;
  • You are responsible for paying all applicable taxes based on your jurisdiction;
  • Tax-exempt organizations must provide valid exemption documentation.

14.11 Non-Payment

Continued non-payment may result in suspension or termination of your account. We reserve the right to pursue collection of unpaid fees and associated costs.

15. Suspension and Termination

Vinci 26 may suspend or terminate access if:

  • These Terms are violated;
  • Required by law or authorities;
  • Payments are overdue.

The Business may terminate its account at any time.

16. Effects of Termination

Upon termination:

  • Access to the Service ceases;
  • Business Data may be retained temporarily and then deleted;
  • Certain data may be retained where legally required.

17. Intellectual Property

All intellectual property rights related to the Service remain with Vinci 26. No rights are transferred except a limited, non-exclusive right to use the Service during the contractual relationship.

18. Confidentiality

Users must not disclose non-public or confidential information obtained through the Service.

19. Disclaimer of Warranties

The Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

20. Limitation of Liability

To the maximum extent permitted by law, Vinci 26 shall not be liable for indirect, incidental, consequential, or special damages. Total liability shall not exceed the fees paid by the Business in the preceding twelve (12) months.

21. Indemnification

The Business agrees to indemnify and hold Vinci 26 harmless from claims arising out of:

  • Use of the Service;
  • Violation of laws or regulations;
  • Business Data or actions of its Users.

22. Changes to These Terms

Vinci 26 may modify these Terms. Continued use of the Service after changes constitutes acceptance.

23. Governing Law and Jurisdiction

These Terms are governed by EU law and, where applicable, the laws of the provider's country of establishment.

24. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
